Terms of Use

1. Provider and Scope
QUATTROBIT, Inc. is a Delaware corporation located at 1111B South Governors Ave, Suite 24469, Dover, Delaware 19904, United States. These Terms apply to the Octron website, account service, desktop and mobile applications, Octron Host Runtime, any Managed Spire service that we make available, and related interfaces, communications, and support (collectively, the "Service").
Octron connects clients you control to authorized computers and servers called "Spires." A Spire may be your own computer or device or, when offered and purchased under a plan, a virtual device hosted for you by QUATTROBIT (a "Managed Spire"). Features and availability may differ by plan, platform, region, and Spire type.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to use the Service. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
3. Accounts and Connected Devices
You must provide accurate information, maintain a valid sign-in method, protect your credentials and recovery methods, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account except to the extent caused by our breach of these Terms or applicable law.
A client, Host Runtime, or Spire must be registered to your account before it can use account-level features. You may unlink or revoke a device through available account controls or request assistance from support@octron.ai when a control is not available in your client. Revocation prevents future authorized access but may not erase files already stored on that device.
4. Authority to Connect and Control Systems
You may connect only computers, servers, accounts, repositories, and services that you own or are expressly authorized to control. You are responsible for obtaining any employer, customer, administrator, or third-party permission required for remote access, monitoring, file transfer, software installation, or automated action.
Octron may transmit terminal input, file operations, browser actions, system commands, and approval decisions to a Spire. A command accepted through an Octron interface is treated as your authorized instruction. Review the target Spire, session, command, and requested permission before approving it.
5. AI Agents and Automated Actions
Octron can coordinate third-party AI agents and tools. Agents may generate inaccurate content, modify or delete files, install software, use network resources, make external requests, or otherwise produce unintended results. You remain responsible for selecting agents, setting permissions, reviewing outputs, maintaining backups, and deciding whether to approve or use an action or result.
Do not rely on the Service as a substitute for legal, medical, financial, safety-critical, or other regulated professional judgment. You must provide appropriate human review for consequential actions.
6. User-Owned Spires
When you connect your own computer, Octron receives only the access and data needed for the features you use. QUATTROBIT does not manage the underlying computer, operating system, network, third-party software, local storage, or physical security. You are responsible for updates, local backups, data recovery, electricity, connectivity, and compliance applicable to that system.
An Octron subscription or entitlement does not transfer ownership of your computer or create a duty for QUATTROBIT to repair, recover, or administer it.
7. Managed Spires
If made available and purchased, a Managed Spire is a subscription service granting temporary access to allocated computing resources. You do not own the virtual device, IP address, underlying hardware, image, or infrastructure account. The applicable plan and checkout identify the included resources, limits, region, support, backup, recovery, and data-retention terms. We may migrate a Managed Spire between equivalent infrastructure when reasonably needed for maintenance, security, capacity, or reliability.
You are responsible for content, code, credentials, third-party licenses, and activity inside your Managed Spire. We may apply security and runtime updates, isolate a compromised environment, or take emergency action to protect users and infrastructure.
8. Backups, Export, and Managed Spire Deletion
QUATTROBIT does not back up user-owned computers. A Managed Spire includes backups or restore points only if the applicable plan or checkout expressly says so. Any included backup is a convenience recovery feature, may not capture every change, and does not replace your own export of critical data.
When a Managed Spire subscription ends, access and compute may stop at the end of the paid period. The plan or checkout controls whether any recovery period applies and how long data and managed backups are retained before deletion. If no recovery period is expressly stated, you must assume that recovery may be unavailable after service ends and export your data in advance. If you request immediate deletion, you waive any available recovery period to the extent permitted by law.
9. Fees, Subscriptions, and Cancellation
- Prices, billing periods, usage limits, and included features are displayed at checkout and form part of these Terms.
- Before purchase, checkout will clearly disclose the price, billing period, renewal terms, material limits, and how to cancel.
- A subscription automatically renews only when checkout states that it renews and you provide the consent required by applicable law.
- You may cancel through the billing channel used for purchase or another cancellation method identified at checkout. Cancellation ordinarily takes effect at the end of the current paid period.
- Fees are non-refundable and non-creditable except where required by law or expressly stated at checkout.
- You are responsible for applicable taxes, duties, and charges imposed by your payment provider or government.
- If payment fails, we may retry payment, provide a grace period of up to seven days, restrict features, or suspend the affected service.
- Price changes apply prospectively after notice and do not alter a period already paid.
Purchases made through Apple, Google, or another application marketplace are also governed by that marketplace's billing and refund rules. Mobile management of a Managed Spire is included when the applicable Managed Spire plan says it is included; no duplicate mobile subscription is required for that included access.
Mandatory consumer rights remain unaffected. Where applicable, consumers may have a statutory withdrawal period, including a 14-day period for certain distance contracts in the European Economic Area. If you ask us to begin a digital service during that period, checkout may request the acknowledgement or consent required by law and explain how that affects withdrawal rights.
10. User Content
As between you and QUATTROBIT, you retain your rights in files, prompts, messages, code, media, and other content you provide to the Service ("User Content"). You grant QUATTROBIT a limited, worldwide license to host, copy, transmit, process, and display User Content only as reasonably needed to provide, secure, and support the Service, follow your instructions, or comply with law. This license does not permit QUATTROBIT to use User Content to train our own or a third party's general-purpose AI model without a separate, explicit opt-in. The license ends when the content is deleted from our systems, subject to limited backup and legal-retention periods.
You represent that you have the rights and permissions needed to use User Content and direct its processing. QUATTROBIT does not claim ownership of output generated by a third-party AI provider; rights in that output depend on applicable law and your agreement with the provider.
11. Third-Party Services and Accounts
The Service may connect to operating systems, repositories, browsers, networks, AI providers, coding agents, identity providers, payment providers, and other third-party services. Their terms, privacy policies, availability, usage limits, and fees apply independently. Unless expressly stated in your plan, QUATTROBIT does not provide or resell your AI subscription and is not responsible for a third-party outage, policy change, account restriction, output, or data practice.
You must not provide QUATTROBIT personnel with a third-party password or secret unless an authorized support process expressly requests a secure credential type designed for that purpose.
12. Acceptable Use
You may not use the Service to:
- Access, monitor, damage, or control a system or account without authorization.
- Violate law, sanctions, export controls, privacy, intellectual-property, or contractual rights.
- Distribute malware, exploit vulnerabilities, conduct denial-of-service activity, or evade security controls.
- Send spam, phishing, fraudulent communications, or abusive or deceptive content.
- Host or distribute unlawful content or facilitate violence, exploitation, or serious physical harm.
- Interfere with the Service, other users, shared infrastructure, or provider networks.
- Mine cryptocurrency, resell allocated infrastructure, or consume resources outside plan limits without written permission.
- Misrepresent automated output as human-generated where disclosure is required by law.
We may investigate suspected abuse and cooperate with providers or authorities where legally required.
13. Software and Intellectual Property
The Service, branding, interfaces, and proprietary software are owned by QUATTROBIT or its licensors. Subject to these Terms and your plan, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to install and use Octron clients for their intended purpose.
You may not copy, sell, sublicense, bypass technical limits, or reverse engineer proprietary portions of the Service except where applicable law does not permit that restriction. Components distributed under an open-source or source-available license remain governed by that license, which controls if it conflicts with this Section.
14. Feedback
If you voluntarily provide feedback, you grant QUATTROBIT a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.
15. Beta Features, Updates, and Changes
Octron may include beta, preview, or experimental features. They may be incomplete, unstable, or changed or discontinued. We may deliver automatic security, compatibility, and feature updates to Octron software. You are responsible for maintaining supported operating-system and client versions.
16. Availability and Support
Unless a separate written service-level agreement applies, the Service is provided without a guaranteed uptime, response time, or recovery point. Maintenance, provider failures, networks, power, user-owned hardware, third-party agents, and events outside our reasonable control may interrupt the Service. We may impose reasonable limits to protect reliability and security.
17. Suspension and Termination
You may stop using the Service and cancel subscriptions through the applicable billing channel. We may restrict or suspend access when reasonably necessary for nonpayment, security, legal compliance, provider requirements, material breach, or risk to users or infrastructure. Where practical, we will give notice and an opportunity to cure.
We may terminate an account for a material or repeated breach. Sections that by their nature should survive termination, including payment obligations, ownership, disclaimers, and liability limits, will survive. Managed Spire data remains subject to the plan-specific deletion terms described in Section 8.
18. Export Controls and Sanctions
You may not use or export the Service in violation of United States or other applicable export-control or sanctions laws. You represent that you are not prohibited from receiving the Service and will not make it available to a prohibited person or for a prohibited end use.
19. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." QUATTROBIT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT AN AGENT, OUTPUT, BACKUP, REMOTE ACTION, OR THIRD-PARTY SERVICE WILL BE SAFE, COMPLETE, ACCURATE, OR SUITABLE FOR YOUR PURPOSE.
Some jurisdictions do not allow certain warranty exclusions, so some of this Section may not apply to you.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUATTROBIT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID TO QUATTROBIT FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING RIGHTS THAT MANDATORY CONSUMER LAW PRESERVES.
21. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Except where mandatory consumer law allows another forum, state and federal courts located in Delaware have exclusive jurisdiction. Before filing a claim, you and QUATTROBIT agree to make a reasonable good-faith effort to resolve the dispute informally for 30 days after written notice.
22. General Terms
If a provision is unenforceable, it will be modified only to the extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, acquisition, or sale of assets. These Terms, the Privacy Policy, checkout terms, and any applicable written plan or service agreement form the entire agreement concerning the Service. If a separate written data-processing agreement applies to a business customer, it governs processing performed on that customer's behalf and controls over these Terms for that subject matter.
23. Changes to These Terms
We may update these Terms as the Service or law changes. We will post the revised Terms with a new effective date and provide additional notice for material changes. Changes apply prospectively. If you do not agree, you must stop using the affected Service before the change takes effect.
